1. Accounts and Registration

To use HumanAI:Doc, you must create an account by providing accurate and complete information. You are responsible for:

• All activities that occur under your account
• Notifying us immediately of any unauthorized access

1.2 Eligibility

You must be a licensed healthcare professional or authorized staff member to use HumanAI:Doc. By creating an account, you represent and warrant that you meet these eligibility requirements.

2. Services

2.1 Service Description

HumanAI:Doc provides AI-powered clinical documentation assistance, including:

• Automated history taking and documentation
• Clinical reasoning support and differential diagnosis assistance
• Medical information retrieval and evidence-based guidance
• SOAP note generation and clinical documentation formatting

2.2 Service Availability

We strive to provide continuous service availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

3. Fees and Payments

3.1 Subscription Fees

Access to HumanAI:Doc requires a paid subscription. Fees are billed in advance on a monthly or annual basis as selected during registration. All fees are non-refundable except as required by law.

3.2 Payment Terms

You authorize us to charge your payment method for all fees incurred. If payment fails, we may suspend or terminate your access to the Services.

3.3 Price Changes

We may change our fees with 30 days' notice. Continued use of the Services after a price change constitutes acceptance of the new fees.

4. Privacy and Data Use

Your use of HumanAI:Doc is subject to our Privacy Policy, which describes how we collect, use, and protect your information and patient data. We are committed to compliance with applicable healthcare privacy laws, including HIPAA and GDPR.

4.1 Data Ownership

You retain ownership of all patient data and clinical information entered into HumanAI:Doc. We process this data solely to provide the Services and as described in our Privacy Policy.

4.2 Data Security

We implement industry-standard security measures to protect your data. However, no system is completely secure, and you acknowledge the inherent risks of electronic data transmission.

5. Use of HumanAI:Doc

5.1 Acceptable Use

You agree to use HumanAI:Doc only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Services
• Interfere with or disrupt the Services or servers

8. Intellectual Property

8.1 Our Rights

HumanAI:Doc and all related software, algorithms, and technology are protected by intellectual property rights owned by HumanAI:Doc Inc. You may not copy, modify, distribute, or create derivative works based on our Services.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your professional clinical purposes during your subscription term.

9. Confidential Information

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of using the Services, except as required by law or with written consent.

10. Suspension and Termination

10.1 By You

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

10.2 By Us

We may suspend or terminate your access immediately if you breach these Terms or if we reasonably believe your use poses a risk to the Services, other users, or patient safety.

10.3 Effect of Termination

Upon termination, your right to access the Services ceases immediately. We will provide reasonable opportunity to export your data for 30 days after termination.

11. Indemnity

You agree to indemnify and hold harmless HumanAI:Doc Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Services
• Your clinical decisions or patient care
• Your violation of these Terms
• Your violation of any applicable laws or regulations

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUMANAI:DOC INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL ARISING FROM YOUR USE OF THE SERVICES.

Our total liability for all claims related to the Services shall not exceed the amount you paid us in the twelve months preceding the claim.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts located in Delaware.

14. Updates to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Services. Continued use after changes take effect constitutes acceptance of the updated Terms.

15. Relationship of Parties

You and HumanAI:Doc are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between the parties.
